Restricted shares are stocks given to employees and officers, or those restricted to special insiders within the company that are not allowed to be sold on the free market. These shares have limited voting rights or in some instances, no voting rights. It is also referred to as restricted common shares. These shares participate in the company's earnings and assets in liquidation as common shares do.
