Generally, unregistered securities are either stocks or bonds -- equity or debt -- that were not or are not being sold subject to the disclosure requirements of the SEC in the U.S. and the relevant authorities in other venues. Typically, such securities are being sold to sophisticated investors in limited amounts which lets them qualify for exemption of the controlling securities laws. When buying unregistered securities you should enlist the services of an expert or experts to help you value the investment and investigate all of the legal and tax implications that they entail.
