While virtually any security can trade in the OTC (Over the counter) market, to be a Nasdaq listed security the company must meet certain criteria. There are a list of criteria to be listed as under “Nasdaq Capital Market” (formally known as “Nasdaq Small Cap.”) and another more rigorous list of criteria to be listed under “Nasdaq National Market” (NNM). Typically the companies listed on the NNM tend to have a larger market capitalization. A company would want to be listed because it would enhance their visibility and the liquidity of shares. This is very helpful when looking to do secondary offerings in the market for acquisitions or other business projects.
